1. Acceptance of Terms
Binding Agreement: By using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

4. Services and Content
Provision of Service: The Service is provided “as is” and “as available” without warranties of any kind.
Platform Role: Bistrochat provides a technology platform that connects diners with restaurants. Restaurants are independent businesses and are not our agents, partners, or employees. The restaurant — not Bistrochat — is solely responsible for its own services, including honoring bookings, food and beverage quality and safety, pricing, loyalty program terms, and its own handling of your personal data once shared with it. We do not guarantee the availability, quality, or performance of any restaurant, and any dispute regarding a restaurant's services should be raised with that restaurant directly.
User Content: You retain ownership of the Content you submit. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your Content solely for the purpose of operating and improving the Service.
Company Content: All materials provided by the Company (including software, documentation, logos, and trademarks) remain the exclusive property of Bistrochat Software Limited or its licensors.
5. Purchases, Subscriptions, and Payment Terms
Purchases and Payment: You agree to provide accurate payment information for any product or service purchased, and you warrant that you are authorized to use the payment method provided.
Third-Party Payment Processors: We may use third-party processors to complete transactions. Your payment data will be handled in accordance with our Privacy Policy and the processor's terms.
Subscriptions: Subscriptions are billed in advance on a monthly or annual basis and automatically renew unless cancelled via your Account settings or by contacting support.
Fee Modifications & Refunds: We reserve the right to modify fees with reasonable notice. Refund requests can be made by contacting support at [email protected]; approved refunds are typically processed within 30 days.
6. Prohibited Uses
You agree to use the Service solely for lawful purposes. You shall not:
- Violate any applicable local, national, or international laws.
- Transmit content that is unlawful, harmful, defamatory, abusive, or obscene.
- Interfere with or disrupt the Service or use automated means to access or extract data from the Service.

11. Limitation of Liability
Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BISTROCHAT SOFTWARE LIMITED NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
Liability Cap: Our total liability shall be limited to the amount you paid (if any) for accessing the Service.
Savings Clause: Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including under the Control of Exemption Clauses Ordinance (Cap. 71) of Hong Kong.
12. Indemnification
You agree to indemnify, defend, and hold harmless Bistrochat Software Limited and its affiliates from any claims, liabilities, or expenses arising from your use of the Service or breach of these Terms.
13. Termination
Right to Terminate: We reserve the right to suspend or terminate your access to the Service at our discretion, with or without notice, for any reason including breach of these Terms.
Effect of Termination: Upon termination, all rights granted under these Terms will cease, and you must immediately stop using the Service. Provisions intended to survive termination will remain in effect.
14. Governing Law and Jurisdiction
These Terms shall be governed exclusively by the laws of the Hong Kong Special Administrative Region. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

16. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bistrochat Software Limited.
No Assignment: You may not assign these Terms without our prior written consent.
Force Majeure: Neither party shall be liable for failures or delays due to circumstances beyond its reasonable control.
Feedback: Any feedback you provide is non-confidential and may be used by Bistrochat Software Limited without obligation to you.
